Professor Bill Rees presents a critical summary of the 2006 Companies Act in one hour. This will be followed by a live Q&A session.
The Companies Act 2006 received Royal Assent on 8 November 2006 and is being implemented gradually. Three commencement orders are already in force. The remaining dates for implementation have been announced as 1 October 2008 and 1 October 2009. In many instances, the Act will be supplemented by secondary legislation.
The Act intends to “shape modern business needs” and its changes represent the most significant shake-up in company law for decades. Corporate practitioners, employment lawyers and litigators need to keep abreast of the latest developments on an ongoing basis. This course is designed to keep practitioners up-to-date with all the latest changes, as well as providing a comprehensive overview of the sweeping reforms.
The changes covered include:
- Codification and amendment of directors’ duties
- Enhancement of shareholders’ rights, including provisions on derivative claims and actions by members
- Changes to a company’s constitution
- The need for a company secretary
- Shares and share capital including financial assistance by private companies
- AGMs and other meetings
- Communications with and decisions by shareholders
- Auditors’ liability
- Accounts and statutory reports including business reviews
- The implementation of the European Takeover Directive
- A unified corporate law for the United Kingdom
